Business Consulting Finders Fee

FINDER’S FEE AGREEMENT

This Finder’s Fee Agreement (“Agreement”) is entered into on __________, by and between:
Consultant: Chris E. Nunez, a business consultant with a principal place of business at 25170 Roland Lane, Punta Gorda FL 33955, Southwest Florida (“Consultant”);
and
Finder: __________________,
with an address at ___________________________(“Finder”).

RECITALS
WHEREAS, Consultant provides business consulting services in Southwest Florida and seeks to expand its client base;
WHEREAS, Finder has contacts and the ability to refer potential clients (“Prospects”) to Consultant;
WHEREAS, Consultant agrees to pay Finder a finder’s fee for each Prospect who becomes a client of Consultant as a result of Finder’s referral;
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

1. Services Provided
1.1 Finder agrees to refer Prospects to Consultant who may be interested in engaging Consultant’s business consulting services in Southwest Florida.
1.2 Finder’s role is limited to making referrals and providing contact information or introductions. Finder is not responsible for negotiating, executing, or managing any agreements between Consultant and Prospects.

2. Finder’s Fee
2.1 Fee Structure: If a Prospect referred by Finder becomes a client of Consultant by entering into a written consulting agreement with Consultant within [Insert Time Period, e.g., 12 months] of the referral (“Successful Referral”), Consultant shall pay Finder a finder’s fee of $100 per Successful Referral.
2.2 Payment Terms: The finder’s fee shall be paid within [Insert Time Period, e.g., 30 days] of Consultant receiving the first payment from the referred client under the consulting agreement. Payment shall be made via [Insert Payment Method, e.g., check, wire transfer, or electronic payment] to Finder at [Insert Payment Instructions].
2.3 Definition of Successful Referral: A “Successful Referral” occurs when a Prospect referred by Finder signs a consulting agreement with Consultant and makes an initial payment for services.

3. Term and Termination
3.1 Term: This Agreement shall commence on the date of execution and continue for [Insert Term, e.g., one year], unless terminated earlier as provided herein.
3.2 Termination: Either party may terminate this Agreement with [Insert Notice Period, e.g., 30 days] written notice. Termination shall not affect Finder’s right to receive fees for Successful Referrals made prior to termination, provided the Prospect becomes a client within [Insert Time Period, e.g., 12 months] after termination.

4. Confidentiality
4.1 Finder and Consultant agree to maintain the confidentiality of all non-public information shared during the course of this Agreement, including but not limited to Prospect identities and Consultant’s business details, except as required to facilitate referrals or as required by law.
4.2 This obligation shall survive the termination of this Agreement.

5. Independent Contractor
5.1 Finder is an independent contractor and not an employee, agent, or partner of Consultant. Finder shall have no authority to bind Consultant to any agreements or obligations.
5.2 Finder shall be responsible for all taxes, licenses, and expenses incurred in performing services under this Agreement.

6. Representations and Warranties
6.1 Finder represents that it will act in good faith to refer suitable Prospects to Consultant.
6.2 Consultant represents that it has the authority to enter into this Agreement and will act in good faith in pursuing opportunities with referred Prospects.

7. Governing Law and Dispute Resolution
7.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.
7.2 Any disputes arising under this Agreement shall be resolved through mediation in Southwest Florida or litigation in a court of competent jurisdiction in Charlotte Coounty, Florida.

8. Miscellaneous
8.1 Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, whether written or oral.
8.2 Amendments: Any amendments to this Agreement must be in writing and signed by both parties.
8.3 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
8.4 Notices: All notices under this Agreement shall be in writing and delivered to the addresses listed above via email.
